Terms of Service

Effective Date: May 1, 2025

By accessing or using KHIA AI, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") in their entirety.

1. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, the Owner of KHIA AI shall not be liable for any indirect, incidental, special, exemplary, or consequential damages — including, without limitation, loss of profits, loss of data, or damage to business reputation — arising out of or in connection with your use of the website or AI services, even if the Owner has been advised of the possibility of such damages.

Total Liability Cap: In no event shall the Owner's total aggregate liability for any and all claims — whether in contract, tort, or otherwise — exceed the total amount paid by you to KHIA AI during the three (3) month period immediately preceding the event giving rise to the claim. If no fees were paid during such period, the Owner's total liability shall be limited to $100 CAD (whichever is lower).

KHIA AI provides introductions to third-party freelancers as a professional courtesy only. The Proprietor does not employ, supervise, or guarantee the work of these freelancers. Any contract for work is strictly between the Client and the Freelancer. The Proprietor and their family members assume no liability for the freelancer's conduct, data breaches, or failure to deliver.

2. NO GUARANTEES ON AI OUTPUT

By using KHIA AI, you acknowledge and agree that:

  • AI Limitations. KHIA AI provides tools and services powered by Artificial Intelligence. AI systems are known to produce outputs that may be inaccurate, incomplete, outdated, or misleading — a phenomenon commonly referred to as "hallucination."

  • Your Responsibility. You are solely responsible for independently verifying any AI-generated content before relying upon it for business, legal, financial, medical, or any other consequential decisions.

  • No Liability for AI Errors. The Proprietor of KHIA AI assumes no liability whatsoever for any losses, damages, or negative outcomes caused by inaccuracies, errors, or omissions in AI-generated outputs.

KHIA AI makes no representations or warranties, express or implied, regarding the accuracy, reliability, completeness, or fitness for a particular purpose of any AI-generated content or service output. The Client acknowledges that AI tools are experimental and probabilistic. The Proprietor makes no guarantee of accuracy. All AI outputs must be reviewed and approved by the Client before use. The Client assumes 100% of the risk for any decisions made based on AI-generated content.

3. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless the Proprietor of KHIA AI, and any affiliated individuals, successors, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to reasonable attorney's fees) arising from or related to:

  • Your access to and use of the KHIA AI website and AI services.

  • Your violation of any term, condition, or provision set forth in these Terms.

  • Any claim, action, or demand by a third party alleging that your use of our AI tools caused harm, damage, or loss to such third party.

  • Your violation of any applicable law, regulation, or the rights of any third party.

This indemnification obligation shall survive the termination or expiration of these Terms and your use of the services.

4. PERSONAL ASSET PROTECTION DISCLAIMER

By accessing and using our services, you explicitly acknowledge and agree to the following:

  • Business Structure. KHIA AI is currently operated as a sole proprietorship.

  • Claims Limited to Business Assets. You expressly agree that any legal action, claim, or proceeding arising from or related to the services provided by KHIA AI shall be directed solely and exclusively against the business assets of KHIA AI.

  • Waiver of Personal Asset Claims. You irrevocably waive any right to pursue, attach, or seek recovery from the personal assets, real estate, private holdings, personal accounts, or personal property of the Proprietor of KHIA AI in connection with any such claim.

As a condition of using our services, the Client explicitly waives any right to seek legal recourse against the personal assets, private residence, or non-business property of the Proprietor or the Proprietor's family members. All claims are strictly limited to the business-only bank accounts associated with KHIA AI. This disclaimer is a material and fundamental term of your agreement to use these services. If you do not agree to this limitation, you must immediately cease use of the KHIA AI services.

5. GENERAL PROVISIONS

Governing Law. These Terms shall be governed by and construed in accordance with applicable law. Any disputes not resolved by mutual agreement shall be subject to binding arbitration.

Severability. If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect.

Modifications. The Proprietor reserves the right to modify these Terms at any time. Continued use of the services after changes constitutes acceptance of the updated Terms.

Entire Agreement. These Terms constitute the entire agreement between you and the Proprietor of KHIA AI regarding the use of the services.
